Noonday Connector Program Terms and Conditions

These Noonday Connector (Refer-A-Friend) Program Terms (the “Terms”) govern your participation in the Noonday Refer-a-Friend Program (the “Program”) offered by Noonday ( “Noonday,” “we,” “us,” or “our”). Please read them carefully.

By participating in the Program, you agree to these Terms, and you understand that your personal information will be treated in accordance with the Noonday Privacy Policy.

Eligibility

The Program is only open to individuals who are 18 years of age or older and who meet the eligibility requirements described in these Terms. Individuals who are employees, contractors, officers, directors, or agents of Noonday (or its affiliates or promotional agencies) are not eligible to participate — either as an Connector or a Friend (each defined below).

Connector Program Overview

To participate, Noonday customers can visit our website and follow the on-screen instructions to refer eligible friends or family members (each, a “Friend”) and receive a unique referral link (the “Referral Link”). Once a customer makes a referral, they become a "Connector.”

Advocates should only refer Friends with whom they have a personal relationship and who would reasonably want to receive the referral.

Referral Process

A Connector may refer Friends by:

  1. Copying and sharing the Connector's Referral Link and sharing via text message, social media, or email.

Eligible Friends must not be existing Noonday customers or have an existing Noonday account (active or inactive), unless Noonday states otherwise for a specific promotion.

Friends must follow the instructions provided to sign up and receive their reward (the “Reward”), which typically takes the form of a 15% off discount on their first eligible purchase at www.noondaycollection.com (and/or other eligible sales channels as stated).

Restrictions & Required Disclosures

Connectors may not:

  • Refer themselves

  • Create multiple, fictitious, or fake accounts

  • Refer the same Friend multiple times through multiple channels

  • Use the Program for commercial lead generation, paid advertising, or coupon/referral sites

Required Disclosure (Legal Requirement):
Whenever a Connector posts, shares, or sends a Referral Link, the Connector must clearly disclose that they may earn a reward if their Friend makes a qualifying purchase. Failure to disclose may result in forfeiting rewards and may violate applicable laws (including consumer protection and anti-spam laws).

Connectors may use any default language we provide to help meet disclosure requirements.

No spam: Connectors may not send unsolicited emails/messages or share referral links in ways that violate platform rules or applicable law.

Rewards

Connector Reward

For each Friend who signs up and completes an eligible purchase using the Connector's Referral Link within the required timeframe, the Connector may receive an incentive (15% off reward), typically delivered by email.

Friend Reward

Eligible Friends may receive a Reward (typically a discount) when they sign up using an Connector's Referral Link, subject to these Terms and any offer details shown at sign-up.

Timing: Rewards are not instant in all cases. If the Program requires verification (such as fraud prevention or order confirmation), rewards may be issued approximately 30 days after the Friend’s first eligible order is placed and confirmed.

Noonday reserves the right to determine eligibility, cancel or modify rewards, or disqualify referrals in cases of suspected fraud, misuse, or policy violations.

Conditions

The following conditions apply:

  • A Friend can earn a Friend Reward one time (unless otherwise stated).

  • Connectors may earn a limited number of Incentives (if applicable), as stated in the offer details.

  • If a Friend receives multiple referral links, only the first referral link used for a qualifying purchase will be honored. All others may be invalidated.

  • Rewards:

    • Cannot be redeemed for cash

    • Cannot be sold or transferred

    • May not be combined with other offers unless explicitly stated

    • May expire if not used within the stated timeframe

Offer Terms (Example Placeholder)

15% off applies to eligible purchases at www.noondaycollection.com made within 30 days of reward issuance. Offer valid only for eligible items; exclusions may apply (including gift cards, taxes, shipping, previously placed orders, and out-of-stock items). We reserve the right to cancel orders due to unauthorized, altered, or ineligible use of the offer and to modify or end this promotion at any time.

Program Communications

Connectors may receive Program-related emails (including notifications when a Friend completes a qualifying purchase). You may opt out of promotional emails at any time via the unsubscribe link, but certain transactional Program emails may still be sent.

Privacy

Personal information collected in connection with the Program will be handled in accordance with the Noonday Privacy Policy.

Information About Friends

Connectors may receive notifications when a Friend completes a qualifying action, but Noonday may not share the Friend’s name or purchase details. Depending on the relationship, a Connector may still be able to infer which Friend used their link.

Indemnification

By participating, you agree to indemnify and hold harmless Noonday, and its officers, directors, employees, and agents from any claim, liability, loss, damage, or expense resulting from your participation in the Program, including unlawful sharing or sending of referral links or your breach of these Terms.

Disclaimer of Warranties; Limitation of Liability

Except where prohibited by law, the Program is provided “as is” and “as available.” We make no warranties of any kind regarding the Program.

To the fullest extent permitted by law, Noonday will not be liable for indirect, incidental, special, or consequential damages related to the Program. To the fullest extent permitted by law, Noonday’s maximum aggregate liability arising out of or related to the Program will not exceed $100 USD.

Disputes

These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles.

Arbitration: Any dispute relating in any way to the Program, your participation, or these Terms will be resolved by binding, confidential arbitration rather than in court, except for claims that may be brought in small claims court or claims seeking injunctive relief related to intellectual property.

Class Action Waiver: You agree that disputes will be brought only in your individual capacity and not as a plaintiff or class member in any class, collective, or representative proceeding.

Bulk Email Distribution

Each Connector is the actual sender of any emails they initiate and must comply with applicable laws. Referrals must be shared in a personal manner appropriate for communications with friends and family. Bulk email distribution, distribution to strangers, or any other misuse may result in disqualification and forfeiture of rewards.

Noonday may (but is not obligated to) monitor Program activity and may block messages, remove content, or prohibit participation if we suspect violations of these Terms or applicable law.

General

Each Connector and Friend must comply with these Terms, the Noonday Terms of Use, and the policies of any platform where a referral link is shared. Noonday may revoke rewards or disqualify any participant in cases of suspected fraud or violations.

Modification and Termination

Noonday reserves the right to modify these Terms or terminate the Program at any time, with or without notice. Continued participation constitutes acceptance of the updated Terms. You are responsible for reviewing the Terms periodically.
